These Terms of Service (the "Terms") are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the website at www.tmbill.com (the "Site") and any related mobile or software applications whether existing now or in the future (the "App") of TMBill ("TMBill" or "We" or "Us").

"Services" includes business applications like restaurant POS billing software, inventory management, reporting and analytics, customer management, and other integrated services provided through the TMBill Platforms.
"Content" means the content that TMBill creates and makes available in connection with the Services including, but not limited to, visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, functionalities, aggregate ratings, reports and other usage-related data in connection with activities associated with your account and all other elements and components of the Services excluding Your Content and third party content.
"Your Content" or "User Content" means content that you upload, share or transmit to, through or in connection with the Services, such as customer information, billing data, inventory information, reports, and any other materials that you display or are displayed in your account.
"TMBill Platforms" refers collectively to the website, desktop application, and mobile applications provided by TMBill.
The App is made available for your own business use. We grant you a personal, limited, non-exclusive and non-transferable license to access and use the Services only as expressly permitted in these Terms.
You shall not use the Services for any illegal purpose or in any manner inconsistent with these Terms. When you use the App you must comply with all applicable laws of India and with any applicable international laws (together referred to as "Applicable Laws").

You agree to indemnify TMBill and its group companies in full and on demand from and against any loss, damage, costs or expenses which they suffer or incur directly or indirectly as a result of your use of the App otherwise than in accordance with these Terms or Applicable Laws.
We are the sole and exclusive copyright owners of the Services and our Content. We also exclusively own the copyrights, trademarks, service marks, logos, trade names, trade dress and other intellectual and proprietary rights associated with the Services and Our Content. All rights are reserved.
You acknowledge that the Services contain original works and have been developed, compiled, prepared, revised, selected, and arranged by us and others through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort, and money and constitutes valuable intellectual property of us and such others.
To the fullest extent permitted by applicable law, we neither warrant nor represent that your use of materials displayed on the Services will not infringe rights of third parties not owned by or affiliated with us. You agree to immediately notify us upon becoming aware of any claim that the Services infringe upon any copyright, trademark, or other contractual, intellectual, statutory, or common law right.
You further acknowledge that the Services may contain information which is designated as confidential by TMBill and that you shall not disclose such information without TMBill's prior written consent.
By submitting Your Content you hereby irrevocably grant us a perpetual, irrevocable, non-exclusive, royalty-free, right to use Your Content for any purpose including API partnerships with third parties and in any media existing now or in future. You irrevocably waive any claims and assertions of moral rights or attribution with respect to Your Content brought against us.

We may obtain business information from third party vendors who obtain their data from public sources. We have no control over, and make no representation or endorsement regarding the accuracy, relevancy, copyright compliance, legality, completeness, timeliness or quality of any product, services, advertisements and other content appearing in or linked to from the Services.

You agree that TMBill will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
You may start using our App with a free trial. The free trial period of the App lasts for one week, or as otherwise specified during sign-up and is intended to allow you to try the service. You will be notified during sign-up whether you are eligible for a free trial.
We may change our service plans and the price of our Services from time to time. We will provide reasonable notice to existing subscribers of any price changes.
You may cancel your membership at any time. However, we do not provide refunds or credits for partial membership periods except as specified in our Cancellation and Refund Policy.
You retain all rights to the data you input into the Service ("Your Data"). By using the Service, you grant TMBill a limited license to use Your Data solely for the purpose of:

TMBill will not be liable, in contract, tort (including, without limitation, negligence), under statute or otherwise, as a result of or in connection with the App, for any:
MAXIMUM LIABILITY: IF TMBILL IS LIABLE TO YOU DIRECTLY OR INDIRECTLY IN RELATION TO THE APP, THAT LIABILITY (HOWSOEVER ARISING) SHALL BE LIMITED TO THE SUMS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
TMBill reserves the right to suspend or cease providing any services relating to the apps published by it, with or without notice, and shall have no liability or responsibility to you in any manner whatsoever if it chooses to do so.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

We accept no responsibility for advertisements contained within the App. If you agree to purchase goods and/or services from any third party who advertises in the App, you do so at your own risk. The advertiser, not TMBill, is responsible for such goods and/or services and if you have any queries or complaints in relation to them, your only recourse is against the advertiser.
These Terms shall be governed by and construed in accordance with Indian laws and you agree to submit to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiations for a period of thirty (30) days before pursuing legal remedies.
These Terms (as amended from time to time) constitute the entire agreement between you and TMBill concerning your use of the App. No other variation to these Terms shall be effective unless in writing and signed by an authorized representative on behalf of TMBill.
We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration.
TMBill reserves the right to update these Terms from time to time. If it does so, the updated version will be effective immediately, and the current Terms are available through a link in the App to this page.
If any provision(s) of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties (as reflected in the provision(s)) and all other provisions shall remain in full force and effect.
TMBill's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by TMBill in writing.
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms or any rights under these Terms without your consent and without notice.
